Online store terms and regulations

The following Regulations define the general terms and conditions of sale applicable to our online store available at www.wilson-hifi.eu.

The online store at Wilson-hifi.eu is operated by:

Audio Video Design Sp. z o.o. with its registered office at Kurantów 34 Street, (02-873) Warsaw, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, XIII Economic Department of the National Court Register under KRS number 0000141174, NIP: 5261036502, REGON: 011254203, with a share capital of 105,000.00 PLN paid in full.

We manage an online store at wilson-hifi.eu for our affiliated company: Horn Distribution S.A., based in Warsaw at 34 Kurantów Street, (02-873) Warsaw, registered in the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Department of the National Court Register under KRS number 0000109020, NIP: 9511828408, REGON: 012977688, with share capital of PLN 1,121,125 paid in full.

Owner of the Wilson brand and its manufacturer and distributor.

1. Scope of the regulations

The Rules and Regulations apply to all orders placed by Consumers and Entrepreneurs through our online store.

A consumer is, according to Article 22 of the Civil Code, a natural person making a legal transaction with an entrepreneur that is not directly related to his/her business or professional activity.

An entrepreneur is, in accordance with Article 43 of the Civil Code, a natural person, a legal person and an organizational unit that is not a legal person, which is granted legal capacity by law, conducting business or professional activity on its own behalf.

Website hosting and display services are partially provided on our behalf by our service providers under a data processing entrustment. Unless otherwise stated in this privacy policy, all access data and data collected in the forms provided for this purpose on our site will be processed on their servers. If you have any questions about our service providers and the basis of our cooperation with them, please contact us. You can find our contact information under “Our contact information and your rights”.

Other or supplementary Regulations and General Terms and Conditions applied by Entrepreneurs are not applicable – they will become part of the contract only if we give our express written consent.

2. Contract conclusion

The sales contract is concluded with Audio Video Design Sp. z o. o.

The presentation of products in our online store constitutes an invitation to conclude a contract within the meaning of Article 71 of the Civil Code. In order to make an offer to purchase products, an order must be placed. Using the mechanisms available in our store, you can add the products of your choice to the shopping cart and make an offer to purchase. The shopping cart and the data entered in the forms can be modified before placing an order using the available functionalities and messages appearing during the ordering process. By clicking the confirm and finalize button on the order summary page, you place an order for the products in the shopping cart.

Once your order has been placed, you will receive a system-generated e-mail message automatically confirming that your order has been registered. This message is not tantamount to a statement of acceptance of your offer and conclusion of the sales contract. The sales contract is concluded after verification that the order can be accepted for processing and acceptance of your offer, which takes place via a separate e-mail message with information about the approval of the order for processing. As soon as you receive such a statement, the sales contract is concluded.

3. Language and rules for the consolidation of the contract

You can conclude the sales contract in English or Polish.

We preserve the content of the contract and send you by e-mail the details of your order and our Terms and Conditions. You can also check your order information via your customer account. The Terms and Conditions are also made available on the website of our online store in a way that allows you to obtain, reproduce and record their content.

4. Delivery of products

Within the European Union, shipping is free of charge. Ordered products are delivered through courier companies cooperating with us. Detailed information in this regard you will find in the course of placing an order and in a special information tab on the website of our store. In objectively justified circumstances resulting in the impossibility of delivery to the selected parcel machine (failure or overcrowding of the parcel machine, too large size of the ordered product), the customer will be informed by e-mail about the shipment of the package to the address provided at the time of placing the order.

5. Payment

The following payment methods are available to you in our online store:

Electronic payment (e-payment) via online payment service including installment payments.

Cash on delivery payment at the time of delivery (The maximum amount of cash on delivery is 6500 PLN gross)

Payment by traditional bank transfer to the bank account of our store. In the case of choosing this form of payment – after the order is made, we will send you via e-mail the data for the transfer. The realization of the order will be started after the full amount of the required payment for the order is credited to our account.

Detailed information about the possible methods of payment, including the online payment services integrated with our store and the available types of e-payments and possible additional costs, is presented during the ordering process and on the website of our store in special information tabs on payment methods.

6. Right to withdraw from the contract

As stated in the instructions on the right of withdrawal, you have the statutory right to withdraw from the contract.

7. Retention of ownership of items

The products ordered in the store remain our property until the sales price is paid in full.

8. Damage caused during transport

Applies to Consumers: In the case of consumer distance purchase, our store always bears the risk of accidental damage or loss of items in transit. If the ordered products are delivered with obvious damage caused during transport, we kindly ask you to report such a defect to the deliverer as soon as possible and contact us. A delay in reporting such a complaint or making contact has no consequences for your statutory claims and their satisfaction, in particular for your rights under the statutory warranty for defects described in the section below. Faster notification does, however, assist us in asserting our claims against the carrier or transport insurer.

9. Warranty, guarantees and seller’s liability

Applies to Consumers: We are obliged to deliver products (items) free of defects. The statutory right of liability for defects of the sold thing (so-called warranty for defects) to the extent specified in Article 556 et seq. of the Civil Code applies. We are liable under the warranty if a physical defect is discovered before the expiration of two years from the date of delivery of the item to you. If the object of sale is a used movable item, the warranty liability is one year from the date of delivery.

We undertake to respond to the complaint immediately, no later than within 14 days from the date of its submission. In the case of exercising warranty rights – if we consider it necessary to consider the complaint, you are obliged to deliver the defective item at our expense to the postal address indicated above. If, due to the nature of the thing or the way it is installed, its delivery would be excessively difficult, you are obliged to make the thing available to us at the place where it is located.

Information on a possible additional warranty and its detailed conditions are always attached to the product and available on the information pages of the online store.

Applies to Entrepreneurs (with the exception of natural persons entering into a contract directly related to their business activity, when the content of this contract shows that it does not have a professional character for these persons within the meaning of Article 556 (4) of the Civil Code – the so-called “entrepreneur-consumers”): warranty rights are lost if you did not examine the goods in the time and manner usual for things of this nature and did not immediately notify us of the defect, and if the defect came to light only later – if you did not notify us immediately after its discovery. In the absence of notification of a defect, the goods are considered accepted. Complaints can be submitted electronically and in writing to the address indicated above. We are liable only for typical damages foreseeable at the time of conclusion of the contract and their normal consequences, we are not liable for lost profits. With respect to entrepreneurs (with the exception of so-called “consumer entrepreneurs”), our liability, regardless of its legal basis, is limited – both in the context of a single claim, as well as for all claims combined – to the amount of the price paid and delivery costs under the sales contract concluded with us.

11. Extension of the warranty period

For some of the products offered (passive loudspeakers), the customer has the opportunity to extend the warranty period up to 10 years free of charge.

The Service Provider reserves the right to change the terms and conditions of the additional protection period according to changes offered by the manufacturer or distributor of the products. Any changes in the terms and conditions will not apply to extended warranty periods that have already been granted.

12. Services provided electronically

In order to use our online store, including browsing the assortment and placing orders, it is necessary to have a multimedia device with an installed web browser and access to the Internet and e-mail. In the settings of the browser, it is recommended to enable JavaScript and the storage of cookies. Users are obliged to use the online store in a manner consistent with the law and good morals, the delivery of unlawful content is prohibited.

We take all necessary measures to ensure fully correct operation of the website and the interface of our online store to the extent that results from the current technical knowledge, and we undertake to remove all irregularities and technical problems reported by users within a reasonable time. The above also applies to the possibility of signing up for a newsletter or the optional possibility of creating a customer account – if these services are provided as part of our store. You may notify us of any detected irregularities or interruptions in the functioning of the website and services of our online store via the contact information indicated in the section above. In a complaint about irregularities related to the technical functioning of the online store service, please indicate the type and date of the irregularity.

13. Order cancellation and withdrawal from the contract

You have the right to withdraw from this contract within 45 days without giving any reason. The withdrawal period expires after 45 days from the day on which you have taken possession of the item or on which a third party other than the carrier and indicated by you has taken possession of the item. In order to exercise your right of withdrawal, you must inform us (Audio Video Design Sp. z o.o., Kurantów 34, 02-873 Warsaw, Poland, wilson@wilson-hifi.eu, telephone: +48 22 33155 54) of your decision to withdraw from this contract by an unequivocal statement (for example, a letter sent by mail, fax or e-mail). You may use the model withdrawal form, but it is not mandatory. In order to comply with the withdrawal period, it is sufficient for you to send information concerning the exercise of your right of withdrawal before the expiry of the withdrawal period and to return the goods to us, or to return them to one of our stationary stores within 14 days from the moment you notify us of your wish to withdraw from the contract.

14. Effects of withdrawal from the contract

In the event of withdrawal from this contract, we will return to you all payments received from you, including the costs of delivery of the goods (except for the additional costs resulting from your choice of delivery method other than the cheapest ordinary delivery method offered by us), immediately and in any case no later than 14 days from the day on which we are informed of your decision to exercise your right of withdrawal from this contract. We will return the payment using the same means of payment that you used in the original transaction, unless you have expressly agreed otherwise; in any case, you will not incur any fees in connection with the return. We will pick up the item. We will bear the cost of returning the item. You are liable only for the diminution in value of the thing resulting from using it in a manner other than necessary to ascertain the nature, characteristics and functioning of the thing.

15. Out-of-court dispute resolution

We would like to inform you that Consumers have the opportunity to use the out-of-court method of handling complaints and claims.

At: http://ec.europa.eu/consumers/odr Consumers have access to an online consumer dispute resolution platform (the so-called ODR platform). The ODR platform is a multilingual, interactive website for serving Consumers and businesses seeking out-of-court settlement of disputes arising from the conclusion of a distance sales or service contract.

The use of the aforementioned out-of-court means of claim and dispute resolution is voluntary and can only take place if both parties to the dispute (the Consumer and the seller) agree to it.

16. Product information​

Presented information about products in the assortment of the Internet Shop wilson-hifi.eu is an invitation to conclude a contract in accordance with Article 71 of the Civil Code.

Prices of products are given in EUR and include the applicable VAT.

The total cost of an order of products, which includes the prices of the products together with delivery costs, is given in the shopping cart before the customer places the order.

We reserve the right to change product prices at any time, including the conduct and cancellation of promotional and sales actions, but these changes do not affect orders placed before the date of changing the price, terms of the promotional or sales action.

Product information presented on the pages of the Internet Shop wilson-hifi.eu is not an offer within the meaning of the Civil Code.

The store makes every effort to ensure that product information corresponds to the current state of facts and functionality of all products. At the same time, the Store reserves the possibility of clerical errors in product descriptions. Photos of products are only exemplary and are used to present the models specifically indicated in them.

All product names used on the website of the Internet Shop wilson-hifi.eu are included for identification purposes and may be protected and reserved by law.

17. Promotions

On the pages of the Internet Shop wilson-hifi.eu may be periodically provided information on promotions reducing the price of the Product specified each time on the page of the relevant goods.

The promotion may be conditional on providing a discount code when placing an order, in which case the price reduction will not be visible on the product page, but when finalizing the Order in the Shopping Cart.

Promotions cannot be combined with other promotions on the wilson-hifi.eu Online Store except where expressly permitted.

In the event that the Customer has ordered a promotional set, the cancellation of his/her order referred to in § 13 may apply only to the entire promotional set.

18. Refund

Refund of the amount paid by the Customer will be made within 14 (fourteen) calendar days in the event of:

(a) Cancellation of the order;
b) Return of the product resulting from withdrawal from the contract;
c) Recognition of the complaint and inability to repair the damaged product or replace it with a new one.

The store will refund the amount paid by the customer to the customer’s bank account associated with the credit card or payment card, if the amount due for the order was paid in advance by bank transfer or credit card or upon receipt at the courier;

19. Discount codes

The Customer has the opportunity to use a valid Discount Code received from the Store or another entity cooperating with the Store. Discount Codes have a validity period during which they can be used. After the expiration date, the Code ceases to be active and it is not possible to use it.

A Discount Code cannot be exchanged for a monetary equivalent.

The Discount Code cannot be combined with any other Discount Code or any other promotions, unless the terms and conditions of a specific promotion provide otherwise.

20. Waste electronic equipment

The store informs that in accordance with the Law of July 29, 2005 on Waste Electrical and Electronic Equipment (Journal of Laws of 2013, item 1155, as amended), the user of equipment intended for households is obliged to return used equipment to the collector of used equipment of this type. A retailer is obliged when selling equipment intended for households to accept used equipment free of charge in an amount no greater than the new equipment sold, if the used equipment is of the same type.

In accordance with the above regulations when purchasing electrical and electronic equipment from wilson-hifi.eu Online Store:

– The customer has the opportunity to donate used electrical and electronic equipment in an amount not greater than the new equipment purchased, if the used equipment is of the same type. Donation of equipment can be done by delivering it at your own expense to the address of the Store.

– Information about other collection points of waste electrical and electronic equipment from households operating in the local area is provided by local offices, on the websites of the offices in question or in other ways adopted in the area.

21. Final Provisions

These Regulations have been developed on the basis of Polish law in accordance with the registered office of the online store operator.

None of the provisions of these Regulations is intended to violate the statutory rights of the Consumer. In the event of any contradictions between the provisions of these Regulations and the rights of Consumers under generally applicable laws – the statutory regulations will always be applied in place of the disputed provisions of the Regulations.

If you are an Entrepreneur, then for all contracts concluded with us, Polish law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

If you are an Entrepreneur, a legal entity under public law or a separate public-law entity, the court of exclusive jurisdiction for all disputes arising from the contractual relationship between us and you shall be the court of our registered office. The preceding sentence shall not apply to natural persons entering into a contract directly related to their business activity, when it is evident from the content of this contract that it does not have a professional character for such persons within the meaning of Article 556 (4) of the Civil Code.
